IntroAdventures Business Agreement

1.0 Acknowledgment and Acceptance
This Business Agreement is between IntroAdventrues.com Inc. ('IntroAdventures' or 'We') and ('Your Business' or 'You') listing. This agreement covers Basic Listings, Enhanced Listings, our Refund Policy and Advertisements.
IntroAdventures Inc. offers business listings to 'Adventure' and/or 'Activity' oriented businesses around the world. To create a business profile on IntroAdventures, you are required to register and provide some basic personal and business information. This information is password protected and it is your responsibility to protect any password or additional information for this site. You are solely responsible for all activity associated with your account. Violation of any of the terms below will result in your account being suspended or terminated.
2.0 Listing types are 'Basic' or 'Enhanced'
2.1 Basic Listing. IntroAdventures Inc. allows businesses to create a 'Basic' business listing at no charge 'Free'. No further purchase is necessary or required. Information required for All 'Basic' listings must be approved prior to them being added to the site. By clicking 'Publish' during signup, 'You' agree to add your business to IntroAdventures Inc. or www.introadventures.com), search results and make your business available for review by our members.
2.2 Enhanced Listing. IntroAdventures Inc. provides an 'Enhanced' listing type that provides more features and customization than our basic listing. Our 'Enhanced' listing can be purchased on a monthly or yearly basis. There is no obligation and businesses are free to cancel at any time. An 'Enhanced' profile would remain on the site but now would be a 'Basic' profile. By clicking 'Place Order' during the business signup, 'You' agree to add your business to ('IntroAdventures Inc.' or 'www.introadventures.com'), search results and make your business available for review by our members.
2.3 Guidelines. Both 'Basic' and 'Enhanced' business listings must meet our 'Guidelines' listed below:
* Your business must provided and/or offer 'Adventures' or 'Activities'.
* Your business listing must fall into a Main Category and in one of our Sub-Categories listed on our Adventures page. If you are unsure whether your business meets are criteria please contact us prior to adding your listing. An example of a business that would qualify for a listing would be a Surfing School. An example of a business that would NOT qualify would be an Automotive Repair Shop.
* Business listings must contain the correct business name, address (businesses can choose to hide their address to the public), web URL's and all related business information must be accurate and subject to verification by IntroAdventures Inc.
* All listings submitted to IntroAdventures must not contain and information or links to any material that may be deemed illegal, offensive, inflammatory or anything that may violate anyone's rights.
* Businesses that do now meet our criteria provide false or inaccurate information, multiple submissions, false or slanderous reviews added to other competitors listings and/or any other actions that we determine to be in disagreement with our Business Agreement will result in your account termination and/or permanent ban from IntroAdventures Inc.
3.0 Packages and Payment Terms
3.1 Billing. All 'Enhanced' listings once they click 'Place Order', agree to pay IntroAdventures Inc. the set rate/price for your listing on IntroAdventures Inc. All funds collected will be processed in U.S. dollars. In order to add an 'Enhanced' listing you must provide a valid credit upon the completion of the registration process. Your credit card will be charged a.) Monthly a the end of a (30) day cycle: b.) Yearly at the end of a (12) month cycle. You may choose to down grade you're listing at the end of your billing cycle. You agree to allow IntroAdventures Inc. to store your credit card information on file. IntroAdventures Inc. reserves the right to change its' fees at any given time.
3.2 Refund Policy. An 'Enhanced' business listing provides many additional features and benefits to help your business stand out from all of the 'Basic' listings on the site. Therefore, we do not generally issue refunds. The only circumstance that would qualify for a refund are businesses that mistakenly place a duplicate order and notifies us of this mistake, where we would remove the duplicate listing and issue a refund on the duplicate listing. Refunds will not be issued to businesses who: a.) Change their mind after purchasing an 'Enhanced' listing: b.) Does not receive the expected traffic or business from the listing: c.) Is not satisfied with the features/content on their listing: d.) Submits incorrect information to their listing. IntroAdventures Inc. will help correct any minor submission errors at no charge to the client.
4.0 User Reviews and Ratings
All business listings on IntroAdventures Inc. are subject to being reviewed by our users. Reviews may be both positive and negative in nature. By participating in our service you agree to have your business subject to user reviews and ratings. We will not remove a negative review from a business listing simply because a business owner does not agree with what the reviewer has said. A review may be removed from a business listing if it violates our Terms of Service.
5.0 Confidentiality
Each party agrees not to disclose any confidential information. 'Confidential' information is the disclosure of any confidential, proprietary or trade secret information by one party 'Disclosing Party' to the other party 'Receiving Party' during the term including any/all business, financial or any other information that is not disclosed to the public.
6.0 Indemnity
6.1 You agree to indemnify, defend and hold not hold responsible IntroAdventures Inc. and its subsidiaries, affiliates, officers, directors, shareholders, employees, agents and contractors against any and all third party claims such as claims, demands and all liabilities of any nature including personal injury, fraud, intellectual property infringement, fraud, violation of any state/federal laws, attorney fees and associated court costs resulting from any breach of this agreement. This includes: a.) Use of the service; b.) The acceptance or removal of your listing; c.) The publishing of your business listing; d.) Any links to other third party sites; e.) Failure to follow the Business Agreement, Terms of Use and/or Privacy Policy.
6.2 Advertisers on IntroAdventures Inc. agree to indemnify, defend and hold not hold responsible IntroAdventures Inc. and its subsidiaries, affiliates, officers, directors, shareholders, employees, agents and contractors against any and all third party claims in connection with any advertisements listed on the site.
7.0 Limitation of Liability
UNDER NO CIRCUMSTANCES WILL INTROADVENTRUES INC. BE RESPONSIBLE AND/OR LIABLE FOR ANY LOSS OF BUSINESS, GOODWILL, PROFITS, PUNITIVE DAMAGES, AND DATA LOSS OR IN THE OPERATION OF THE BUSINESS.
8.0 Disclaimer of Warranties and Responsibilities
INTROADVENTURES INC. SERVICES ARE PROVIDED 'AS IS' AND ARE WITHOUT ANY WARRANTIES OF ANY KIND. INTROADVENTURES INC. DISCLAIMS ANY WARRANTIES OR GUARANTEES OF ADVERTISERS WITH REGARDS TO THE NUMBER OF CLICK THROUGHS OR IMPRESSIONS ON AN ADVERTISMENT.
9.0 Communications
All communications between 'You' and IntroAdventures Inc. will be sent electronically to the email address provided during the registration process. Communication will involve: a.) Site changes/updates: b.) Service/product update information: c.) Price Changes: d.) Promotional information. In addition, business is notified of user submitted content such as reviews etc. These notification settings can be changed by the business in their business profile.
10.0 General
The terms outlined in this Business Agreement are subject to revision and change. We will notify by email and/or posting these changes on the IntroAdventures website and you agree to be bound by any changes made to this agreement. Businesses are reminded that you must all contact information up-to-date with a current email address, so we can send you notifications. The laws in your Country/State govern this agreement.
